Terms and Conditions – Move Productions

Applicable to all offers, assignments, and agreements between Move Productions and its clients.

1. Definitions

1.1 In these terms and conditions:

Contractor: Move Productions, located at Ommedijk 3, 2636 AZ Schipluiden, The Netherlands.
Client: Any natural or legal person who enters into an agreement with Move Productions.
Services: All services offered or delivered by Move Productions, including (but not limited to) video and photography productions, creative development, editing, and strategic consultation.

2. Applicability

2.1 These general terms and conditions apply to all offers, services, and agreements between Move Productions and the Client.
2.2 Deviations are valid only if explicitly agreed in writing.
2.3 Any general terms and conditions of the Client are hereby explicitly excluded.

3. Offers and agreement

3.1 All offers are non-binding and valid for 30 days unless stated otherwise.
3.2 An agreement is concluded when confirmed in writing by Move Productions or when the work has commenced.
3.3 Changes to the assignment must be confirmed in writing and may affect the price and/or timeline.

4. Execution of services

4.1 Move Productions will carry out the services to the best of its ability, in accordance with professional standards.
4.2 The Client is responsible for providing all relevant and timely information and materials.
4.3 Move Productions is entitled to engage third parties for execution.

5. Delivery and revisions

5.1 Delivery timelines are indicative unless expressly agreed otherwise.
5.2 The Client is entitled to one revision round unless otherwise agreed. Additional revisions may be billed separately.
5.3 Delays outside the control of Move Productions do not entitle the Client to compensation.

6. Fees and payment

6.1 All fees are exclusive of VAT unless stated otherwise.
6.2 Invoices must be paid within 14 days of the invoice date.
6.3 In case of late payment, the Client may be charged collection costs.
6.4 Move Productions reserves the right to suspend work or withhold deliverables if payment is delayed.

7. Intellectual property and usage rights

7.1 Unless explicitly agreed otherwise, both Move Productions and the Client retain shared rights of use to the final materials created during the assignment.
7.2 The Client is granted a perpetual, and non-transferable license to use the materials for the intended purpose (e.g., campaign, website, internal communication).
7.3 Move Productions retains the right to use the work, in part or in full, for its own promotional and portfolio purposes (e.g., website, social media, showreel, awards submissions), provided this does not conflict with agreed confidentiality or exclusivity.
7.4 Any usage of the materials by third parties or for purposes outside the original scope requires prior written consent from Move Productions and may be subject to additional fees.
7.5 Raw footage, working files, or project source files are not delivered unless explicitly agreed upon.

8. Materials provided by the client

8.1 The Client guarantees that all materials provided (e.g., music, visuals, text) are free of third-party rights or that necessary permissions have been obtained.
8.2 Move Productions is not liable for any infringement claims related to content supplied by the Client.

9. Confidentiality

9.1 Both parties agree to keep confidential any sensitive or proprietary information obtained during the course of the project.
9.2 This obligation continues after the termination of the agreement.

10. Liability

10.1 Move Productions is only liable for direct damages resulting from a demonstrable failure in the execution of the agreement.
10.2 Move Productions is not liable for indirect damages, including loss of profits, consequential damages, or data loss.
10.3 The Client indemnifies Move Productions against third-party claims resulting from the execution of the assignment.

11. Force majeure

11.1 In the event of force majeure, Move Productions is entitled to suspend or terminate the agreement without being liable for any damages.
11.2 Force majeure includes but is not limited to: illness, government measures, equipment failure, internet outages, fire, supplier issues, or unforeseen events beyond Move Productions' control.

12. Suspension and retention rights

12.1 Move Productions may suspend services or delivery of work in the event of delayed payment or breach of contract by the Client.
12.2 Move Productions may retain final files or materials until full payment has been received.

13. Cancellation and termination

13.1 Either party may terminate the agreement in writing with one month’s notice, unless otherwise agreed.
13.2 The Client remains liable for all work performed and costs incurred up to the termination date.

14. Governing law and disputes

14.1 These Terms and the agreement are governed by Dutch law.
14.2 Disputes will preferably be resolved through mutual consultation. If necessary, disputes will be submitted to the competent court in the district where Move Productions is registered.
